TERMS AND CONDITIONS
Origin: All products are of a Russian Origin.
Stamps and Signatures: Stamps and Signatures are obligatory for every issued irrevocable Corporate Purchase order. Respect our and maximum capacities of delivers as state on product sheet up above.
Inspection: Independent surveyor (SGS) will issue quality at the port of loading and bottled sample text will be send to buyer for this confirmation
Payments: The payment will be made in the currency of US DOLLAR. Payment may be optional. SELLER accepts only irrevocable revolving documentary letter of credit, issued or confirmed by a renowned bank per shipment basis and the amount of irrevocable revolving transferable documentary letter of credit shall correspond with the stipulated lot/ batch of monthly quantity; revolving to the next month.
PERFORMANCE BOND: Seller will be provide a 2% operative performance guaranty (bond) to buyer's payment instrument. SELLER can only consider and negotiate term and condition after confirmation of buyer's financial capability.
Notice :
These Procedure are not negotiable and must be given in the Buyer ICPO as confirmation of accepting the seller's terms and Procedure; otherwise seller will not issue he FCO or DRAFT CONTRACT.
CIF ANY SEA PORT
APPOVED BANKING PROCEDURES
1. Buyer issue LOI to GMFGI
2. GMFGI issue SCO to the Buyer via the Buyer mandate (Attention to the End Buyer).
3. The Buyer counters sign and seal approval the SCO.
4. GMFGI. Send the Business consulting contract to Buyer.
5. The Buyer and the Consultant sign and seal the Business consulting contract
6. Buyer issues an ICPO. (Follow by GMFGI format.)
7. Seller issues Full Corporate Offer to the Buyer 8. Buyer signs and returns FCO with letter of acceptance
9. Seller issue Draft Contract on firm Term and Conditions to the buyer.
10. Buyer signs and returns the Draft Contract to Seller.
11. Seller sends Contract to the refinery for Legalization and lodge into pipe line for liquid petroleum products.
12. Buyer issues Non operative Bank Guarantee (BG) MT 103/23 in order to confirm buyer's financial capacity for the transaction, after seller bank confirm form buyers bank the genuine of the BG MT103/23. Seller bank will issue activate 2% PB to the buyers Bank. Should in case seller falls to supply the product, then 2% PB will be pay to buyer's bank account as compensation.
13. Upon the confirmation, Seller and buyer sign the hard copy contract and both party exchanges hard copy of contract via courier service. Within five days of signing electronic version
14. Seller issues FULL PROOF OF PRODUCT (POP) Bank to Bank.
a) Copy of License to Export, issued by the Department of the Ministry of Energy
b) Copy of Approval to Export, issued by the Department of th e Ministry of Justice.
c) Copy of Statement of Availability of the Product.
d) Copy of the Refinery commitment to produce the Product.
e) Copy of Transnet Contract to Transport the Product to the Port.
f) Copy of the Port Storage Agreement.
g) Copy of Tank Receipts and SGS Report.
h) Copy of the Charter Party Agreement(s) to Transport the Product to Discharge Port
15. Seller Bank Shall issue PBG 2% to buyer bank, activated Bank Guarantee (BG) MT 103/23. All banking charges including confirmation from the Buyer 's bank shall be borne by the Buyer and all banking charges incurred by the Seller at Seller's bank shall be borne by the Seller.
16. Should any amendments to the BG be requested once the same had been issued, then the Party requesting the change will be responsible for the payment of the related costs, unless changes are needed to construct the instruments in compliance with the Agreement, then the costs shall be borne by the faulting Party
17. Deliverance of goods, Commence as scheduled.
